M&A and Tax Counsel
For buyers acquiring a business, deal teams that need tax structuring, and the M&A attorneys and CPAs who refer them.
Hello! I’m Josh, an M&A and tax attorney with 9 years of combined experience across public accounting and law. I represent buyers through the acquisition of a business, step in as tax counsel on deals that need dedicated structuring, and work as a co-counsel resource for M&A attorneys and CPAs who need a tax specialist on their file.
Every engagement starts with a $1,000 consultation — credited in full toward any future work if you retain the firm. Schedule your consultation using the link below.
Who am I?
I’m a tax and M&A attorney with 9 years of experience across public accounting and law. I started my career at a regional accounting firm focused on middle-market mergers & acquisitions and tax controversy, then worked at a Big 4 public accounting firm before practicing law. I hold a JD and an LLM in Taxation from Washington University in St. Louis School of Law.
Growing up as the oldest of four siblings and the son of a single-parent, I understand just how busy life can get. For this reason, I created a web-based law firm to allow clients to easily communicate with me on their schedule, regardless of the hour. Also, because I don’t have costly office space to maintain, I am able to keep my overhead low and provide my clients high-quality services at reasonable rates.
I earned my Bachelor of Arts in Political Science and Psychology from the University of Michigan, Ann Arbor, before law school.
How I Help
Buying a Business
Whether it’s your first acquisition or your fifth, I represent buyers from letter of intent through closing — with tax structuring built into the deal from day one instead of discovered after signing.
Tax Structuring for Deals
If your deal has real tax stakes — an F reorganization, a Section 338(h)(10) or 336(e) election, QSBS planning, or purchase price allocation — I step in alongside your existing M&A counsel to structure it right and negotiate the tax provisions in the agreement.
For Attorneys & CPAs
If you’re an M&A attorney or CPA with a client mid-transaction, I work as co-counsel or a consulting resource for the tax piece of the deal — drafting tax provisions, tax due diligence, F reorganizations, and deal structuring — while you keep the client relationship.

Frequently Asked Questions
Why hire M&A and tax counsel instead of a general business attorney
Hiring an attorney for a transaction is a big decision. A general business attorney can handle contracts and formation, but deal work has tax stakes that get decided in the structuring details, not just the purchase price.
Tax due diligence catches issues a purely transactional attorney can miss — entity structuring, elections, and provisions that determine what you actually keep after the deal closes. That experience is what I bring to every file.
What makes me different from other attorneys?
Unlike many M&A attorneys, I bring a real tax and public accounting background to every deal I handle. With experience counseling middle-market and large companies on tax controversy and structuring, that depth is what protects your deal from surprises after closing.
Moreover, as a solo attorney, I take my job very seriously. I understand the challenges of being a small business owner because I am one. For me, you are not just another client, rather I take the time to invest in each of my clients. I want to know who you are and why you love what you do. When you work with me, you won’t just talk to my staff, but you will work with me directly.
